3. Prices - Payment Terms
(3.1) Vieweg's prices apply ex works, excluding packaging and transport, which will be charged separately. The prices stated in the offer or order confirmation apply to orders; in case of doubt, the prices from the price list valid at the time of the order apply.
(3.2) Value-added tax (VAT) is not included in the list prices; it will be shown separately on the invoice at the statutory rate applicable on the day of invoicing.
(3.3) All invoices from Vieweg must be paid within 20 calendar days from the date of issue (invoice date) net (without deduction). Payment is considered made when Vieweg can dispose of the amount or when it is credited to Vieweg's account; for cheque payments, only when the cheque is cashed by Vieweg.
(3.4) If the customer does not pay within 20 calendar days of receiving the invoice, they are in default without the need for a reminder. The statutory consequences of default apply.
(3.5) The customer may only offset claims against Vieweg’s payment claims if and to the extent that their counterclaims are legally established, undisputed, or acknowledged by Vieweg. The assertion of rights of retention is also only permissible under these conditions and is excluded if the counterclaim is based on a contractual relationship other than Vieweg's claim. These General Terms and Conditions of Delivery and Payment apply to all current and future orders and contracts of the customer with Vieweg GmbH Dosier- und Mischtechnik (hereinafter: "Vieweg"). They form the exclusive contractual basis alongside Vieweg's offer and order confirmation. Changes or additions are only possible through mutual written agreements. This also applies to changes or waivers of this written form requirement. Conflicting, deviating, or supplementary terms and conditions of the customer do not become part of the contract unless Vieweg expressly agrees to their validity in writing. These General Terms and Conditions of Delivery and Payment also apply if Vieweg carries out the delivery to the customer with knowledge of conflicting, deviating, or supplementary terms and conditions of the customer.
